1.Acceptance of Terms
By accessing or using the services provided by Senderly ("Senderly," "we," "us," or "our") — including our web application, mobile application, and any related services (collectively, the "Service") — you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you must not use the Service. By using the Service, you represent that you have the legal capacity to enter into a binding agreement.
2.Eligibility
You must be at least 13 years of age (or 16 in the EU where applicable) to use the Service. By using the Service, you represent that you meet this requirement.
If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
3.Description of the Service
Senderly is a secure software-as-a-service platform and mobile application that enables users to transfer files quickly, easily, and privately using end-to-end encryption to ensure data confidentiality and protection during transmission.
Most of the Service's features are available without creating an account. Full functionality requires account registration. We reserve the right to modify, expand, or discontinue any feature of the Service at any time with reasonable notice.
4.Accounts
4.1 Registration
To access account-based features, you must register using a valid email address or through Google or Apple sign-in. You agree to provide accurate information and keep it up to date.
4.2 Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at security@senderly.me if you suspect any unauthorised access.
4.3 One account per person
Each person may maintain only one account. Creating multiple accounts to circumvent restrictions or abuse free-tier limits is prohibited.
4.4 Account deletion
You may delete your account at any time from your settings. Upon deletion, all your personal data is permanently and immediately removed from our systems.
5.Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe on the intellectual property or privacy rights of any person
- Transmit spam, unsolicited messages, or malware
- Scrape, crawl, or systematically extract data from the Service without our written permission
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service in a way that impairs its performance or availability for other users
- Impersonate any person or entity or falsely represent your affiliation
- Use the Service for any illegal, harmful, or fraudulent activity

6.Intellectual Property
6.1 Our property
The Service, including its software, design, trademarks, logos, and all content created by us, is owned by Senderly and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our name, logo, or trademarks.
6.2 Licence to use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial purposes.
6.3 Feedback
If you submit ideas, suggestions, or feedback about the Service, you grant us a royalty-free, perpetual, worldwide licence to use that feedback without restriction or compensation to you.
7.User Content
If the Service allows you to create, upload, or submit content ("User Content"), you retain ownership of that content. By submitting User Content, you grant us a limited licence to store and display it solely as necessary to provide the Service to you.
You represent that you own or have the rights to any User Content you submit, and that it does not violate these Terms, our Acceptable Use Policy, or any applicable law.
We do not claim ownership of your User Content. Because files are end-to-end encrypted, we cannot read their contents. Upon account deletion, your User Content is permanently deleted along with all other account data.
8.Privacy
Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. By using the Service, you agree to our data practices as described in those documents.
9.Payment & Subscription Plans
9.1 Free tier
We offer a free tier of the Service subject to usage limits described on our pricing page. We reserve the right to modify free-tier limits at any time with 30 days' notice.
9.2 Paid subscriptions
Paid plans are billed on a recurring subscription basis (monthly or annually, as selected at checkout). By subscribing, you authorise us and our payment providers to charge your payment method the applicable fee at the start of each billing period.
9.3 Automatic renewal
Your subscription renews automatically at the end of each billing period at the then-current price, unless you cancel before the renewal date. You can cancel at any time from your settings; cancellation stops future renewals and takes effect at the end of your current paid period. You retain access to paid features until then.
9.4 Payment processing
Payments are processed by our third-party payment providers: Xendit (for Southeast Asia) and Stripe (globally). Your card or account details are entered directly with these providers and are not stored on our servers. Your use of their services is subject to their respective terms and privacy policies. 9.5 Refunds
Except where a refund is required by applicable law (including mandatory consumer-protection rights), fees are non-refundable, and payments for a billing period already started are not refunded on cancellation. Nothing in this clause limits any non-waivable statutory rights you may have in your jurisdiction.
9.6 Price changes
We may change subscription pricing with at least 30 days' advance notice to registered users. Price changes take effect at your next renewal; if you do not agree, you may cancel before the change takes effect.
9.7 Taxes
All prices are exclusive of applicable taxes unless stated otherwise. Where we are required by law to collect taxes (such as VAT or other indirect taxes), these will be added to your payment and shown at checkout. You are responsible for any taxes applicable to your use of paid plans in your jurisdiction.
10.Service Availability
We aim to provide a reliable Service but do not guarantee uninterrupted availability. The Service may be unavailable due to maintenance, upgrades, or events outside our control.
We will make reasonable efforts to provide advance notice of planned maintenance and to restore service promptly following any disruption.
11.Disclaimers
To the extent permitted by applicable law, we disclaim all warranties. Some jurisdictions do not allow the exclusion of implied warranties — in such cases, the above disclaimers apply to the maximum extent permitted by law.
12.Limitation of Liability
Our total aggregate liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100.
Some jurisdictions do not allow limitations on liability for death, personal injury, or consumer-protection rights — these limitations do not apply to such claims.
13.Indemnification
You agree to indemnify, defend, and hold harmless Senderly and its officers, directors, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:
- Your use of the Service in violation of these Terms
- Your User Content
- Your violation of any applicable law or third-party rights
14.Termination
14.1 By you
You may stop using the Service and delete your account at any time.
14.2 By us
We may suspend or terminate your access to the Service immediately and without notice if:
- You materially breach these Terms or our Acceptable Use Policy
- We are required to do so by law or court order
- Your account poses a security risk to the Service or other users
For non-material breaches, we will provide reasonable notice and an opportunity to remedy the breach before termination.
14.3 Effect of termination
Upon termination, your right to use the Service ceases immediately. All your personal data will be deleted in accordance with our Privacy Policy.
15.Governing Law & Disputes
These Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-law principles.
Any dispute arising out of these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the Singapore International Arbitration Centre (SIAC), or to the courts of Singapore.
Australian users: Nothing in these Terms excludes consumer guarantees under the Australian Consumer Law (Competition and Consumer Act 2010).
16.Changes to These Terms
We may update these Terms from time to time. For material changes, we will notify registered users by email at least 30 days before the change takes effect. Minor changes (typo corrections, clarifications) may be made without notice.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. See our Policy Changelog.
